Terms & Conditions

These Terms & Conditions (the “Terms”) govern the provision and use of the technical services and API integration infrastructure provided by Digital Sphere Tech (digitalspheretech.online) to the business entity (“Partner” or “you”) utilizing the services. By accessing or using our services, you agree to be bound by these Terms.

1. Scope of Service

Digital Sphere Tech provides specialized B2B technical services including API integration access, data flow management tools, and related service enablement infrastructure (collectively, the “Services”). The specific technical capabilities, service level commitments, and operational parameters are defined in a separate Service Agreement executed between Digital Sphere Tech and the Partner.

2. Partner Obligations

2.1 Technical Compliance

The Partner is responsible for maintaining all necessary technical prerequisites, systems, and security measures required to successfully interface with the Services. The Partner agrees to comply with all technical specifications, documentation, and operational policies published by Digital Sphere Tech.

2.2 Lawful Use

The Partner warrants that its use of the Services shall strictly comply with all applicable laws and regulations, particularly those governing system enablement and data handling within Pakistan and any other relevant jurisdiction.

2.3 Account Security

The Partner is solely responsible for maintaining the confidentiality and security of its technical access credentials (including API keys and management interface logins) and for all activities that occur under its service account.

3. Technical Access and Licensing

3.1 Grant of Access

Subject to these Terms and the Service Agreement, Digital Sphere Tech grants the Partner a limited, non-exclusive, non-transferable right to access and use the Services solely for the Partner’s internal business operations.

3.2 Intellectual Property (IP)

All rights, title, and interest in and to the Services, including all underlying technology, software architecture, documentation, and any accompanying materials, are and shall remain the exclusive property of Digital Sphere Tech. These Terms do not transfer any IP rights from Digital Sphere Tech to the Partner.

3.3 Feedback

If the Partner provides any feedback, suggestions, or technical input regarding the Services, Digital Sphere Tech may use and implement such feedback without restriction or obligation to the Partner.

4. Service Availability and Modifications

4.1 Service Levels

Digital Sphere Tech commits to providing the Services in accordance with the service level specifications detailed in the governing Service Agreement.

4.2 Changes to Services

Digital Sphere Tech reserves the right to modify, suspend, or discontinue any aspect of the Services, including technical features and API integration specifications, upon reasonable notice (typically 30 days) to the Partner.

5. Termination

5.1 Termination by Digital Sphere Tech

Digital Sphere Tech may suspend or terminate the Partner’s access to the Services immediately if the Partner breaches any material term of these T&C, fails to meet operational compliance requirements, or if required by legal or regulatory authorities.

5.2 Effect of Termination

Upon termination for any reason, the Partner’s right to access and use the Services shall immediately cease. The Partner must promptly cease all use of the Services and delete all technical access credentials.

6. Indemnification

The Partner agrees to indemnify, defend, and hold harmless Digital Sphere Tech, its officers, and employees from and against any claims, liabilities, damages, losses, and expenses (including legal fees) arising out of or related to the Partner’s breach of these Terms or the Partner’s unlawful or unauthorized use of the Services.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL DIGITAL SPHERE TECH BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO, DAMAGES FOR LOST DATA, SYSTEM DOWNTIME, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICES, REGARDLESS OF THE LEGAL THEORY. THE TOTAL LIABILITY OF DIGITAL SPHERE TECH UNDER THESE TERMS SHALL NOT EXCEED THE TOTAL FEES PAID BY THE PARTNER FOR THE SERVICES IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

8. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Pakistan, without regard to its conflict of laws principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Karachi.

9. Changes to Terms

Digital Sphere Tech may update these Terms from time to time. We will notify the Partner of any material changes by posting the new Terms on our website and updating the “Effective Date.” Continued use of the Services after the effective date of the revised Terms constitutes acceptance.
